General Conditions of Sale

The Prime Traders — International Wholesale & Export Trade Agreement

Effective Date: June 13, 2026

These General Conditions of Sale govern all commercial transactions, quotations, agreements, and orders between The Prime Traders and its clients, including wholesalers, distributors, importers, and international B2B buyers. By placing an order, the buyer fully accepts these terms without exception.

1. Scope of Application

These conditions apply to all sales, offers, and product deliveries made by The Prime Traders, whether through website, email, or direct communication. Any deviation must be confirmed in writing. These terms override any conflicting terms provided by the buyer unless explicitly agreed.

2. Orders & Confirmation

  • All orders are subject to written acceptance or confirmation by The Prime Traders.
  • Orders are not binding until confirmed via email or invoice.
  • We reserve the right to refuse orders due to stock limitations, payment risk, or legal restrictions.
  • Modifications or cancellations are only accepted before processing begins.
Bulk or export orders may require advance deposit or partial payment confirmation.

3. Pricing Policy

Prices are provided in EUR or USD depending on destination and buyer profile. Prices exclude VAT, customs duties, and shipping unless otherwise stated.

  • Prices may change without prior notice due to market conditions
  • Final price is confirmed only in official invoice
  • Custom packaging or branding may affect pricing

4. Payment Terms

  • Advance payment required for new or international clients
  • Accepted methods: bank transfer, agreed B2B payment channels
  • Orders are processed only after payment confirmation
  • Late payments may result in order delay or cancellation

5. Delivery & Shipping

Delivery times vary depending on destination, logistics, and customs procedures. The Prime Traders ensures professional packaging and reliable export handling.

  • Standard processing: 1–5 working days
  • Export shipping: 3–10 working days (approx.)
  • Tracking provided whenever available
  • Custom delays are not under seller control

6. Returns & Claims

Claims for damaged or incorrect goods must be submitted within 48 hours of delivery with proof. Returns are only accepted after written approval.

  • Non-returnable: custom-made or bulk goods
  • Returned items must be unused and in original packaging
  • Refund or replacement depends on inspection results

7. Risk Transfer

Risk is transferred to the buyer once goods are handed to the shipping carrier. The seller is not responsible for delays, loss, or damage during transit handled by third parties.

8. Liability Limitation

The Prime Traders shall not be liable for indirect losses, business interruption, or delays caused by customs, logistics, or external events beyond control. Liability is strictly limited to the value of purchased goods.
